United Company RUSAL, International Public Joint-Stock Company, reported that its wholly owned subsidiary, JSC Russian Aluminium, signed an Additional Agreement on 24 August 2026 amending the loan framework originally dated 22 January 2025. The transaction is classified as a major material deal under Russian regulations.
The amendment sets a revolving aggregate lending limit of 150.00 billion rubles, with borrowing permitted in either Russian rubles or Chinese yuan. Key interest conditions include: • Fixed-rate ceiling: 24% per annum for both currencies. • Floating-rate ceiling (RUB): Bank of Russia key rate + 6 ppt. • Floating-rate ceiling (CNY): either 1-year Loan Prime Rate (LPR 1Y) + 6 ppt or RUSFAR + 6 ppt. The lender may raise fixed rates unilaterally if benchmark indicators rise by more than 1 ppt (RUB) or 0.75 ppt (CNY).
Loan commitments can be initiated over 2,554 days from the agreement’s effective date, with full repayment due by day 2,555. The final obligation maturity is 21 January 2032.
The overall transaction size is 359.94 billion rubles, equivalent to 18.13% of RUSAL’s total assets as of 30 June 2026. The issuer’s consolidated assets were reported at 25.53 billion U.S. dollars on the same date.
Consent for the transaction was granted by the Board of Directors of JSC Russian Aluminium on 5 August 2026.
