E&P Global Proposes 10-for-1 Share Consolidation, Board Lot to Increase to 10,000 Shares

E&P Global Holdings Limited has announced plans for a 10-for-1 share consolidation and a simultaneous increase in the standard board lot size on the Stock Exchange of Hong Kong.

The proposed transaction will consolidate every ten existing shares of HK$0.01 par value into one consolidated share of HK$0.10. Issued share capital would fall from 14.28 billion to 1.43 billion shares, while authorised share capital remains unchanged at HK$1.00 billion, now divided into 10.00 billion consolidated shares.

Conditional on the consolidation taking effect, the company will enlarge its trading board lot from 2,000 existing shares to 10,000 consolidated shares. At the 13 October 2026 announcement date, E&P Global’s shares closed at HK$0.02, implying: • Current board lot value (2,000 shares): HK$40 • Post-consolidation board lot value (2,000 consolidated shares): HK$400 • Post-consolidation and revised lot size value (10,000 consolidated shares): HK$2,000

Management cited Listing Rule 13.64 and HKEX’s “Guide on Trading Arrangements for Selected Types of Corporate Actions,” which flag share prices below HK$0.10 and board lot values under HK$1,000 as “trading at extremity.” The consolidation and lot-size increase are designed to raise the theoretical share price to about HK$0.20 and lift the minimum tradable value above HK$1,000, thereby reducing relative transaction costs and potentially broadening the investor base.

Key milestones: • Extraordinary General Meeting (EGM): 6 November 2026 • Expected consolidation effective date: 10 November 2026 • Free exchange of share certificates: 10 November-16 December 2026 • Board lot size change effective: 24 November 2026

Implementation is subject to: (1) shareholder approval at the EGM, (2) compliance with Cayman Islands, Hong Kong laws and Listing Rules, and (3) Stock Exchange approval for listing the consolidated shares.

The board emphasised that the measures do not alter shareholders’ proportional interests, company operations, or financial position, aside from customary expenses. Aside from a previously announced convertible bond issuance plan (27 August 2026), the company has no other imminent fundraising or corporate actions in the next 12 months but may pursue opportunities as they arise.

Shareholders are advised that the proposals may not proceed if conditions are unmet and should exercise caution when dealing in E&P Global securities.
