TOP EDUCATION reports stable share capital with no new issuances in May 2026

TOP EDUCATION (01752) filed its Monthly Return for the period ended 31 May 2026, confirming that the registered ordinary share count remained unchanged at 2.17 billion. No treasury shares were outstanding or transacted, and the company affirmed compliance with the Hong Kong Stock Exchange’s 25% minimum public-float requirement.

The firm’s Share Option Scheme retained 18.93 million outstanding options, with no grants, lapses or exercises recorded during the month. If fully exercised, these options could convert into 18.93 million new shares, while a further 251.34 million shares remain available for future grants under the scheme.

Under the Pre-IPO Performance Rights Plan approved on 8 June 2017, 124.91 million rights (120.32 million and 4.59 million from two separate grants) are still eligible for conversion, though none were exercised in May.

No warrants, convertible securities, share buy-backs, or other equity movements were reported for the month. All regulatory confirmations required by Main Board Rule 13.25C were provided by Joint Company Secretary Yan Li Yu.
