Fullshare introduces Honour Gold Holdings as new subscriber, outlines post-deal shareholding changes

Fullshare Holdings Limited announced the execution of a Novation Deed on 2 July 2026, under which Honour Gold Holdings Limited (“New Subscriber I”) will assume all rights and obligations of the original Subscriber I in the pending share subscription agreed on 26–27 January 2026 and amended on 16 March 2026. Honour Gold Holdings is a British Virgin Islands-incorporated investment holding company wholly owned by the original Subscriber I and, according to the board, is an independent third party.

Key transaction terms remain unchanged: on completion, Fullshare will issue 72.00 million new shares to New Subscriber I and 55.00 million new shares to Subscriber II under the existing general mandate. The Novation Deed became effective upon signing.

Share capital impact • Current issued shares: 636.76 million • Post-subscription issued shares: 763.76 million

Illustrative shareholding changes upon completion: • Magnolia Wealth: falls from 23.95% to 19.97% (152.50 million shares, unchanged) • Mr. Ji: diluted from 2.86% to 2.38% (18.19 million shares, unchanged) • New Subscriber I: will hold 72.00 million shares, or 9.43% • Subscriber II: will hold 55.00 million shares, or 7.20% • Public float: decreases from 73.19% to 61.02% (466.08 million shares, unchanged)

Completion of the subscription remains conditional on fulfillment of the agreed conditions; therefore, the transaction may or may not proceed. Shareholders are advised to exercise caution when dealing in Fullshare’s shares.
