REMT Announces Discounted Share Placement to Raise Approximately HK$4.5 Million

REMT (00601) has announced that on 21 August 2026, after trading hours, the company entered into a placing agreement with a placing agent. Under this agreement, the company conditionally agreed to place up to 96 million placing shares at a placing price of HK$0.05 per share on a best-effort basis to no fewer than six placees. These placees and their ultimate beneficial owners must be independent third parties. The placing price excludes any Stock Exchange trading fees, Securities and Futures Commission transaction levies, Central Clearing and Settlement System stock settlement fees, and brokerage commissions that may be payable by the placees.

The maximum number of placing shares under the placing represents approximately 16.20% of the company's existing issued share capital of 593 million shares as of the date of this announcement. It also represents approximately 13.94% of the company's issued share capital as enlarged by the allotment and issuance of the placing shares, assuming no change in the total number of issued shares of the company from the date of this announcement to the completion date.

The placing price of HK$0.05 per placing share represents a discount of approximately 19.35% to the closing price of HK$0.062 per share as quoted on the Stock Exchange on 21 August 2026.

Assuming all 96 million placing shares are successfully placed, the total gross proceeds from the placing will amount to HK$4.8 million. After deducting the placing commission and other related costs and expenses, the estimated net proceeds from the placing will be approximately HK$4.5 million. On this basis, the net issue price per placing share will be approximately HK$0.047.

The directors intend to apply the net proceeds from the placing as follows: 50% for the payment of audit and professional fees, 30% for the payment of staff costs, and the remaining 20% for the settlement of trade payables and other payables.
