Top Education: Issued Share Count Steady in March 2026, Public Float Requirement Met

Top Education Group Limited reported no movements in its share capital for the month ended 31 March 2026. The ordinary-share count remained at 2.17 billion, with no treasury shares on record.

The Hong Kong-listed education provider confirmed compliance with the Main Board’s minimum 25% public-float threshold as at month-end.

Incentive instruments remained unchanged: • Share Option Scheme: 18.93 million options outstanding, potentially convertible into an equivalent number of ordinary shares. A further 251.34 million shares may be issued upon exercise of all options authorised under the scheme. • Pre-IPO Performance Rights Plan: Up to 124.91 million shares could be issued if all outstanding rights vest (120.32 million from the June 2017 grant and 4.59 million from the April 2018 grant).

No warrants, convertible securities, share buy-backs, or new issuances were recorded during the period. The company stated that all regulatory confirmations under Main Board Rule 13.25C have been satisfied.
