New China Life Insurance Company Ltd. announced on August 26 that its ninth board of directors has approved the appointment of Liu Chen as vice president of the company, according to a resolution announcement from the board's 11th meeting.
The board meeting also passed a proposal to adjust the composition of its board committees. Huang Geng was elected as a member of both the Strategic and ESG Committee and the Investment and Asset-Liability Management Committee of the ninth board.
The adjusted committee lineups are as follows: the Strategic and ESG Committee (6 members) includes Yang Yucheng (chairman), Gong Xingfeng, Yang Xue, Huang Geng, Hu Aimin, and Zhuo Zhi; the Investment and Asset-Liability Management Committee (6 members) comprises Mao Sixue (chairman), Yang Yucheng, Gong Xingfeng, Huang Geng, Hu Aimin, and Zhang Xiufen; the Audit and Related Party Transaction Control Committee (5 members) features Guo Yongqing (chairman), Mao Sixue, Zhang Xiaodong, Xu Xu, and Zhuo Zhi; the Nomination and Remuneration Committee (6 members) includes Xu Xu (chairman), Yang Xue, Zhang Xiaodong, Guo Yongqing, Zhuo Zhi, and Zhang Xiufen; and the Risk Management and Consumer Protection Committee (5 members) comprises Yang Xue (chairman), Zhang Xiaodong, Xu Xu, Guo Yongqing, and Zhang Xiufen.
Notably, Huang Geng and Zhang Xiufen's appointments to the board committees are conditional upon receiving regulatory approval for their qualifications as director and independent director, respectively. Until Zhang Xiufen's independent director qualification is approved, independent director Ma Yaotian will continue to perform his duties in accordance with regulatory requirements.
Regarding the vice president appointment, Liu Chen's qualification for the position is also subject to regulatory approval.
