DFZQ Receives Shanghai Stock Exchange Acceptance for Share-Issuance Acquisition of Shanghai Securities

On 26 August 2026, DFZQ (formally 东方证券股份有限公司) disclosed that the Shanghai Stock Exchange (SSE) has issued the “Notice on Acceptance of the Application for Purchase of Assets by way of Issue of Consideration A Shares” (SSE Review [2026] No. 78), confirming that the Company’s submission for its planned acquisition of 100% equity interests in Shanghai Securities Co., Ltd. is complete and has entered the official vetting phase.

The transaction is classified as a major transaction and involves settling the purchase consideration through a combination of newly issued A shares under a specific mandate and a cash component. Concurrently, DFZQ is seeking a whitewash waiver in relation to the deal.

Despite the procedural progress, the acquisition remains contingent upon multiple approvals, including final consent from the SSE and approval and registration by the China Securities Regulatory Commission (CSRC), as well as other regulatory conditions.

DFZQ has issued prior disclosures on 6 May, 27 July, 7 August and 24 August 2026, alongside a detailed circular dated 30 July 2026. The Board reiterates that completion of the proposed acquisition may or may not proceed, and advises shareholders and potential investors to exercise caution when dealing in the Company’s securities.
